About This Role
RGP is seeking an experienced Securities Counsel/Attorney Consultant to join a high-performing legal team responsible for the company’s SEC filings and corporate governance disclosures. This is a remote role with the opportunity to make an immediate impact on high-visibility, meaningful work in a collaborative environment.

If you have a strong background in ’34 Act reporting and SEC filings, this is an excellent opportunity to take ownership of critical compliance initiatives and work alongside senior legal and finance leaders.

What You Will Work On
•Draft, review, and file SEC reports, including Forms 10-K, 10-Q, and 8-K
•Support executive compensation and proxy statement disclosures (Form 10-K/A)
•Review and coordinate Section 16 filings for directors and officers
•Partner with internal teams and outside counsel to ensure compliance with SEC, NASDAQ, and SOX requirements
•Validate equity transactions and compensation data with a high degree of accuracy
•Support quarterly earnings processes and annual meeting preparation

What You Will Bring
•JD from an accredited law school and active U.S. bar membership
•5+ years of public company securities law experience (in-house or at an AmLaw 100 firm)
•Deep understanding of SEC rules and federal securities laws
•Proven experience drafting and reviewing proxy statements, Form 10-K, and Section 16 filings
•Exceptional attention to detail and the ability to manage complex reporting timelines
•Collaborative, organized, and comfortable thriving in a fast-paced environment

  • Compensation commensurate with employee qualifications, experience, and other factors including geographic location, market, and operational factors.  
  • Pay Range: $120-$130hr.
